Before initiating formal proceedings, both parties agree to make a good faith effort to resolve any dispute informally. You may contact us using the details in Section 19. We will endeavour to respond and attempt resolution within 30 days of receiving your notice.
If informal resolution is unsuccessful, you and Subkulture agree to submit any dispute exclusively to the courts of competent jurisdiction located in Bengaluru, Karnataka, India. Both parties consent to such courts being an appropriate venue and waive any objection on the grounds of inconvenient forum.
As an alternative to court proceedings, either party may elect to resolve a dispute through binding arbitration under the Arbitration and Conciliation Act, 1996 (as amended). The seat of arbitration shall be Bengaluru, proceedings shall be in English, and the arbitrator's decision shall be final and binding.
Note: Nothing in this section prevents either party from seeking urgent injunctive or interlocutory relief from a court in Bengaluru where necessary to protect their rights pending resolution of a dispute.
If any provision of these Terms is found to be unlawful, void, or unenforceable under applicable Indian law, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, or if not possible, severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.
These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Subkulture with respect to your use of the Site and all related Content. These Terms supersede all prior oral and written proposals, understandings, and agreements in relation to the same subject matter.
No failure or delay by Subkulture in exercising any right under these Terms shall constitute a waiver of that right.
